Welcome to NEOM Studio. These Terms and Conditions (“Terms”) govern your use of our website www.neom-studio.com (the “Site”) and the purchase of our products. By using the Site or placing an order, you agree to these Terms. We recommend reading them closely before completing your purchase.

2. ORDERS AND CONTRACT FORMATION

  • Eligibility: You must be at least 18 years old and possess a valid payment method to shop on our Site.
  • Order Receipt: After placing an order, you will receive an automatic email acknowledging receipt. This is a confirmation that your inquiry has been received and does not yet constitute a binding contract.
  • Binding Confirmation: A binding contract between NEOM Studio and the customer is formed only when we send a formal Billing Order Confirmation or Shipping Confirmation via email.
  • Right to Refuse: We reserve the right to refuse any order for reasons such as stock unavailability, pricing errors, or inability to ship to your location.

3. PRODUCT CHARACTERISTICS AND DEPICTION

  • Natural Variations: Our products are crafted from natural materials, primarily high-grade birch plywood. Minor variations in wood grain, texture, and natural characteristics are inherent to the material and do not constitute defects.
  • Natural Finishes: As we use natural oils and earth pigments, slight variations in shade and saturation are expected. These finishes are a “living link” to traditional craft and may evolve slightly over time.
  • Screen Display: We strive for accurate depiction, but the colors you see depend on your device’s display settings. We cannot guarantee that the physical product will perfectly match the color as seen on your screen.

4. PRICING AND PAYMENT

  • Currency: All prices are listed in Euros (€).
  • VAT: Prices include Slovenian VAT (22%) for EU B2C customers. For EU B2B transactions, “Reverse Charge” may apply upon validation of a valid VAT ID.
  • Payments: We accept Stripe, PayPal, and major Credit Cards (Visa, Mastercard).
  • Custom Orders: For “Made-to-Order” products, payment is captured when production commences. For standard items, payment is cleared before dispatch.

5. SHIPPING AND DELIVERY

  • B2C Delivery: Products are delivered fully assembled to ensure structural integrity and a premium experience.
  • B2B/Architects: Logistics-efficient “flat-pack” solutions are available for business partners upon prior agreement.
  • Inspection upon Delivery (Crucial): Upon delivery, the customer is responsible for inspecting the parcel for any visible damage before signing the carrier’s delivery note.
  • Damages: If the goods are damaged during transit, you must object to the carrier immediately and contact us at [email protected] within 24 hours with photos of the damage. Failure to object to the carrier at the time of delivery may result in the loss of your right to claim compensation.

6. RIGHT OF WITHDRAWAL (B2C ONLY)

As a consumer within the EU, you have the right to withdraw from this contract within 14 days without giving any reason.

  • The Period: The 14-day period begins the day you (or a third party indicated by you) acquire physical possession of the goods.
  • Exclusions: The right of withdrawal does NOT apply to custom-made products or goods manufactured to the customer’s specific instructions (e.g., custom sizes or specific pigment mixes).
  • Conditions: Products must be returned in their original packaging, undamaged, and in merchantable condition.
  • Return Costs: The customer is responsible for the direct cost of returning the goods. Due to the nature of furniture, these costs can be significant.

7. WARRANTY AND MATERIAL DEFECTS

We are liable for material defects in accordance with the Slovenian Consumer Protection Act (ZVPot-1).

  • Coverage: The warranty covers manufacturing faults and material defects under normal use.
  • Exclusions: It does not cover damage from accidents, misuse, improper maintenance (e.g., use of harsh chemicals on natural oil finishes), or normal wear and tear.

8. INTELLECTUAL PROPERTY

All content on this Site—including text, graphics, the NEOM Studio logo, images, and the unique design of our furniture — is the exclusive property of NEOM Studio d.o.o. Reproduction, imitation, or use without express written consent is strictly prohibited.

9. GOVERNING LAW AND DISPUTE RESOLUTION

  • Governing Law: These Terms are governed by and construed in accordance with the laws of the Republic of Slovenia.
  • Jurisdiction: Any disputes will be subject to the exclusive jurisdiction of the courts in Ljubljana, Slovenia.
  • Out-of-court settlement: NEOM Studio d.o.o. does not recognize any provider of out-of-court settlement of consumer disputes as competent to resolve a consumer dispute in accordance with the Out-of-Court Settlement of Consumer Disputes Act.
